Terms of Service

Agreement

By downloading, installing, or using Halver ("Halver," "the app," "the service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use Halver. Halver is operated by CloudPath, LLC ("we," "us," "our").

Service Description

Halver helps a host and their guests split a restaurant check by item. The host scans a receipt with the iOS app, shares a session link with their guests, and the guests claim the items they ordered from any web browser — or from the iOS app, if they happen to have it installed. Halver computes per-guest totals (including a proportional share of tax and gratuity) and tracks payment status.

Halver Is Not a Financial Service

Halver does not process payments, hold funds, or facilitate the transfer of money between users. When a guest is ready to pay, Halver opens a deep link to a third-party payment app of the guest's choosing (Venmo, Zelle, Cash App, etc.) with the amount pre-filled. The actual payment occurs entirely within that third-party app, governed by that app's terms. Halver records only that the host marked the payment as confirmed.

CloudPath, LLC is not a money transmitter, money services business, financial institution, or payment processor. We do not have access to your card numbers, bank accounts, or payment-app credentials.

Receipt Accuracy and OCR Limitations

Halver uses on-device optical character recognition (OCR) to extract line items, prices, tax, and totals from a photo of a receipt. You acknowledge and agree that:

  • OCR results are estimates. Item names, prices, quantities, and totals may be misread, missed, or duplicated, particularly for receipts that are crumpled, faded, or printed in unusual fonts.
  • The host is responsible for reviewing the extracted items before sharing the session with guests, and for correcting any errors.
  • Per-guest totals computed by Halver are derived from the (possibly imperfect) extracted items. They are not a substitute for the printed receipt.
  • Tax and gratuity are distributed proportionally based on each guest's share of the pre-tax subtotal. Other allocation methods (per-item tax, custom gratuity rules) are not supported in v1.
  • Do not rely solely on Halver for legal, tax, or accounting purposes. The receipt itself remains the authoritative record.

Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or disassemble the app.
  • Use the app for any unlawful purpose or to defraud, mislead, or harass another person.
  • Use Halver to coordinate splits for transactions that are not legitimate, completed restaurant or social-dining purchases.
  • Interfere with or disrupt our servers, networks, or the service.
  • Scrape, harvest, or redistribute data obtained through the app.
  • Impersonate another person or entity in a session.
  • Attempt to access another user's account or session without authorization.

User-Submitted Content

The display names, manually-entered receipt corrections, and similar text you enter into Halver are your own. You are responsible for what you submit. We may remove content that violates these Terms or applicable law.

Intellectual Property

Halver and all associated content, design, code, and the Halver wordmark are the property of CloudPath, LLC. Third-party trademarks (Venmo, Zelle, Cash App, Apple, and any others referenced) are the property of their respective owners and are used here for descriptive purposes only.

Service Availability

We strive to keep Halver available and functioning, but we do not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue Halver, in whole or in part, at any time without notice. Sessions are ephemeral by design; we do not guarantee long-term retention of session history.

Limitation of Liability

To the maximum extent permitted by law, CloudPath, LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Halver, including but not limited to:

  • Errors in receipt extraction, per-guest totals, or points tracking.
  • Disputes between hosts and guests over what was ordered, claimed, or owed.
  • Failed, delayed, or disputed payments made through third-party payment apps.
  • Service interruptions or data unavailability.
  • Any decisions made based on information provided by the app.

Halver is provided "as is" and "as available" without warranties of any kind, express or implied.

Indemnification

You agree to indemnify and hold harmless CloudPath, LLC from any claims, damages, or expenses arising from your use of Halver or violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Cook County, Illinois.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of Halver after changes constitutes acceptance of the updated Terms.
